Harley-Davidson®, Inc. and each of its respective affiliates, subsidiaries, shareholders, representatives, officers, directors, agents, and employees (collectively, the “H-D® Entities”) will have no liability or responsibility for any claim arising in connection with participation in this sweepstakes or any prize awarded. The H-D® Entities have not offered or sponsored this sweepstakes in any way.

Participation constitutes entrant's full and unconditional agreement to these Rules, including but not limited to, the consent to receive marketing text messages that may be sent using an automated system, and the class action waiver and jury trial waiver herein.

Overview: Ride Into A New Era (the “Promotion”), sponsored by Mighty Loud Enterprises ("Mighty Loud"), consists of two (2) distinct and separate sweepstakes drawings for a total of two (2) winners to each be awarded one (1) Harley-Davidson® motorcycle as defined in more detail below (each, a "Prize" and together, the "Prizes").

Entry Period: Entry period for each drawing begins June 3, 2024 at 9:00 a.m. Eastern Time and ends on December 2, 2024 at 11:59 p.m. Eastern Time. Mighty Loud's computer is the official time keeping device for the Sweepstakes.

Mighty Loud will award the Prizes from among all qualified, eligible entrants in two (2) separate and distinct random drawings conducted on or about December 3, 2024. Winner need not be present to win. To be eligible for each Prize requires affirmatively entering into each sweepstakes drawing.

Eligibility: The Promotion is open only to legal residents of the 49 continental United States, excluding Hawaii and including Alaska and the District of Columbia, who are at least twenty one (21) years old at the time of entry. Employees of Mighty Loud (“Sponsor”), Harley-Davidson®, Inc. and its Dealers and retailers, affiliates, sales representatives, distributors, and promotional and other vendor agencies, their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors involved in the promotion, and the immediate family (parent, spouse, including common law spouse, sibling, child, grandparent, grandchild, regardless of where they reside) and household members of all such employees, are not eligible. The Promotion is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Participation constitutes entrant’s full and unconditional agreement to these Official Rules. Sponsor’s decisions are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. Previous winners of prizes valued over $500 awarded by Sponsor or Harley-Davidson® as part of the 2023 or 2024 Rolling USA sweepstakes (inclusive of Rolling Daytona, Rolling Laconia, Rolling Sturgis, Rolling Milwaukee and Rolling Arkansas) are ineligible to participate in this Sweepstakes and Promotion.

During the Entry Period, obtain QR codes for each prize. Scan respective QR Codes for access to each sweepstakes drawing registration form. No purchase is required to gain access to a QR code.

You can also enter by visiting the Ride Into a New Era Page on Mighty Loud's website at www.hd-promo.com/adventure or www.hd-promo/2024 during the Entry Period and following the instructions to complete and submit registration forms for each drawing. The form will request certain information, including your name, address, date of birth, phone number, email address, and selection of the drawing in which you wish to enter.

Maximum of one (1) entry per person per drawing regardless of method of entry.

Sponsor assumes no responsibility for lost, incomplete, garbled, illegible, or incorrect entries. All entries must be submitted and received by Sponsor by 11:59 pm ET on December 2, 2024 to be eligible for the respective drawing. All entries become the property of the Sponsor and will not be returned or acknowledged.

Multiple entrants are not permitted to share the same email address, nor are they permitted to share the same phone number. Any attempt by any entrant to obtain more than the stated number of entries (as outlined below) by using multiple/different email addresses or phone numbers, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder.

Limit: Limit one (1) entry per person per drawing, for a maximum of two (2) entries total per person throughout the Promotion, regardless of method of entry. Any and all additional entries submitted over the stated limits as defined herein will be considered void. Only one person per email address. Limit one prize per person.

Odds: Odds depend on the number of eligible entries received for each prize drawing.

Prizes: Two prizes will be awarded as follows:

Pan America Special Drawing Prize:

· 2024 Harley-Davidson® Pan America Special in Vivid Black MSRP: $20,499 (ARV $20,499); and

· 2025 Harley-Davidson® Homecoming in Milwaukee, WI Package, including (i) 3 hotel nights at hotel selected by Sponsor (ARV $990); (ii) a $500 gift card; and (iii) two (2) tickets to the Homecoming Festival concerts (ARV $3,000). Total ARV $24,989.

Street Glide Drawing Prize:

· 2024 Harley-Davidson® Street Glide® MSRP: $28,399 (ARV $28,399); and

Total ARV for entire Promotion: $57,878. Prizes are non-transferable and do not have any cash equivalent.

It will be solely within Sponsor's discretion to identify and reserve the hotel. It will also be solely within Sponsor's discretion to determine all features of the Harley-Davidson® motorcycles to be awarded, including but not limited to, color and details; all other features or upgrades will be allowed only if permitted by delivery Dealer and paid for by the Prize winner. Prize to be awarded is as described herein. Motorcycle images contain accessories not included in Prize.

All taxes, fees, costs, incidentals, or other expenses or liabilities associated with each Prize are the responsibility solely of each respective individual winner. Winner may be required to present government issued photo identification and personal credit card in order to check into hotel. Each Prize winner is responsible for title, license, registration and dealer preparation costs, insurance, sales tax, and other fees associated with that winner's Prize.

All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, airfare, ground transportation, meals, incidentals, gratuities, passenger tariffs or duties, airline fees, surcharges, airport fees, hotel fees, service charges, or facility charges, personal charges at lodging, security fees, taxes, or other expenses are the responsibility solely of winner.

How To Win: On or about December 3, 2024, Sponsor will conduct two (2) distinct drawings at random from among all eligible entries received for each Prize drawing. Entry in one drawing does not equate with entry in the other. Entrants must affirmatively enter the drawing(s) for which they wish a chance to win the specific associated Prize. Need not be present to win. A person may only win once during this Promotion. The winner of the first drawing is not eligible to win the second drawing.

Mighty Loud's decisions as to the administration and operation of the entirety of the Promotion and the selection of the Prize winners are final and binding.

Winner must have a valid driver’s license and the ability to ride a two-wheeled motorcycle and will be required to provide proof of insurance at time of delivery. Winner must take delivery of motorcycle from the dealership identified by Sponsor.

Selected Prize winners will be notified by email, text, and/or phone call, at the discretion of the Sponsor to the email address and/or phone number provided upon entry. Winners will each be required to sign and return a Declaration of Compliance, Liability Waiver, and where not prohibited a Publicity Release (the "Declaration") which must be received by Mighty Loud within forty-eight (48) hours of the date notice or attempted notice is sent, and in the manner set forth by Mighty Loud in the communication, in order to claim their respective Prize.

Any potential winners of any Prize who cannot be contacted, fail to sign and return the Declaration or provide any other requested information within the required time period (if applicable), forfeit their respective prize. Receiving a prize is contingent upon compliance with these Official Rules. In the event that a potential winner is disqualified for any reason or forfeits the prize, Sponsor will award the applicable Prize to an alternate winner, time permitting, by random drawing from among all remaining eligible entries. Subject to Sponsor's discretion, Sponsor will conduct a minimum of three (3) alternate drawings (if necessary) from among the respective drawing pool, to award all Prizes, after which the applicable Prize may remain un-awarded.

The Prize winners will be contacted regarding the fulfillment of the prize within 8-10 weeks of the conclusion of the Promotion and the prize will be fulfilled as soon as it becomes available to the dealership identified by Sponsor.

Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. There is no cash equivalent or other substitution for any Prize. Notwithstanding, Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. IMPORTANT NOTE: IF YOU WIN A PRIZE IN THIS PROMOTION OR HAVE PREVIOUSLY WON A PRIZE VALUED OVER $500 IN A 2023 OR 2024 ROLLING USA PROMOTION, YOU WILL NOT BE ELIGIBLE TO WIN ANY ADDITIONAL PRIZE (VALUED OVER $500) OR MOTORCYCLE PRIZE PRIZE(S) IN ANY 2024 PROMOTION. None of Sponsor, Harley-Davidson®, Inc., or their respective affiliates or agents have made or will be responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law, relating to such vehicle, including without limitation, its quality, mechanical condition, merchantability, or fitness for a particular purpose, with the exception of any standard manufacturer’s warranty that may apply to the vehicle.

Release: By receipt of any prize, winners agree to release and hold harmless Sponsor, Mighty Loud Enterprises, and Harley-Davidson®, Inc. and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt or use or misuse of any Prize or any portion of any Prize herein referenced.

Publicity: Except where prohibited, participation in the Promotion constitutes each winner’s consent to Sponsor’s and Harley-Davidson®, Inc.'s and their respective agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

Additional Requirements and Terms: SALES TAX, TITLE AND REGISTRATION, AND ANY OTHER CHARGES MUST BE PAID BY EACH RESPECTIVE PRIZE WINNER TO THE APPROPRIATE DEALER(S) PRIOR TO BEING ENTITLED TO RECEIVE THE PRIZE. Failure to do so within 30 days of the date that the winner is advised that the motorcycle is ready for pick-up may result in forfeiture of the Prize, in Sponsor’s sole and unappealable discretion. Prize cannot be transferred, and must be titled in winner's name only. Winner shall be solely responsible for obtaining and payment of any federal or state required registration, inspection, insurance coverage, and taxes for the Prize. Additional information regarding the warranty, pick-up/delivery, and additional information will be provided to the Winner in due course after winning. Winner will be required to complete all relevant documentation, including sales warranty and registration, for the Prize at the Harley-Davidson® dealership location identified by Sponsor during regular business hours or as otherwise may be informed by Sponsor.

General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, if any fraud, technical failures, human error, or any other factor impairs the integrity or proper functioning of the Promotion, or any event or cause beyond Sponsor’s control (e.g. events such as natural calamities, national emergencies, wide spread illnesses, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Promotion, including but not limited to fulfillment of the prize(s), as determined by Sponsor in its sole discretion. In such event, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance and may modify the prizes offered herein. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. No substitution of any prize is offered, no transfer of any prize to a third party is permitted and non-cash prizes may not be redeemed for cash. Any portion of a prize not accepted by the winner will be forfeited. Sponsor reserves the right to award a prize of equal or greater value in the event the published prizes are unavailable. Void wherever prohibited or restricted by law. All federal, state and local laws and regulations apply. Prize recipients will be solely responsible for paying all applicable federal, state and local taxes on prizes, and if applicable, winner may receive an IRS Form 1099 for the retail value of any prizes.

Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of entries; (5) late, lost, undeliverable, garbled, illegible, damaged or stolen entries; or (6) any injury, loss, claim, harm, cause, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or receipt or use or misuse of any Prize or portion of any Prize. Entrants acknowledge and agree that the Released Parties are not responsible for any injury, loss, claim, harm, cause, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from a winner's hotel stay. All entries must be submitted and received by Sponsor by 11:59 pm ET on June 1, 2024 to be eligible for the respective drawing. All entries become the property of the Sponsor and will not be returned or acknowledged.

Multiple entrants are not permitted to share the same email address, nor are they permitted to share the, including without limitation, any winner's hotel stay. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Promotion, if it is possible. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by a state or federal court sitting in Cobb County, Georgia, and you hereby consent and submit to the personal jurisdiction of such venue for the purposes of litigating any such action; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion or the Prize, shall be governed by, and construed in accordance with, the laws of the State of Georgia without giving effect to any choice of law or conflict of law rules (whether of the State of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Georgia.

By registering, you hereby expressly and irrevocably waive all rights to trial by jury in any action or proceeding instituted relating in any way or arising in any way out of the Promotion. You further hereby expressly agree not to participate in a class action or other class-wide method for dispute resolution for any claims covered by these Official Rules. You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.

All entrants, as a condition of entry, agree to be bound by these rules and the decisions of the Sponsor, which shall be final and binding. Sponsor reserves the right in its sole discretion to disqualify any and all individuals (and their entries) who tamper with the entry process.

Privacy Policy: Entry requires submission of certain information, including name, date of birth, address, phone number, and email address. All such personal information collected during this Promotion is for the benefit of Harley-Davidson®, Inc. and accordingly subject to Harley-Davidson®, Inc.'s privacy policy, accessible at https://www.harley-davidson.com/us/en/footer/utility/privacy-policy.html.

By participating in this Promotion and submitting an entry, you agree to receive by mail, email, phone call, or text message communications from Mighty Loud in the administration of this Promotion as well as communications from Harley-Davidson® and any of its authorized dealers, by mail, email, phone or text. If at any point you do not wish to receive such communications, including at time of entry, you may choose to opt out at any time. If you choose to opt out of communications from Mighty Loud during the pendency of this Promotion, you may forfeit your opportunity to win if they are unable to reach you.
